Thanks for using Chestnut Learning services (“Services”). These Services are provided by Chestnut Learning
Limited (“Chestnut Learning”).
By using our Services, you agree to comply with the following Terms and Conditions (“T&C”). Please
read them carefully.
Description of Service
Chestnut Learning provides users with a service that helps them learn and practice mathematics. Unless expressly stated
otherwise, any new features that improve or enhance the current Service, including the release of new Chestnut Learning properties, shall be governed by the T&C. You understand and agree that the Service is provided “as-is” and that
Chestnut Learning assumes no responsibility for the timeliness, deletion, misdelivery, or failure to store any user
communications or personalization settings.
In order to use the Service, you must obtain access to the Internet, either directly or through devices that
access web-based content. Accessing and using Chestnut Learning is free of charge.
With respect to your use of the Service, you agree to:
provide true, accurate, current, and complete information about yourself as prompted by the Service’s
registration form (such information being the “Registration Data”);
maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you
provide any information that is untrue, inaccurate, not current, or incomplete, Chestnut Learning has the right to suspend or
terminate your account and refuse any current or future use of the Service.
You may cancel your Chestnut Learning membership at any time, and cancellation will be effective immediately.
Member Account, Password, and Security
You will have a password and account designation upon completing the Service’s registration process. You are
responsible for maintaining the confidentiality of the password and account, and you are fully responsible for all
activities that occur under your password or account. You agree to immediately notify Chestnut Learning of any unauthorized use
of your password or account or any other breach of security. You also agree to ensure that you exit from your account
at the end of each session. Chestnut Learning cannot and will not be liable for any loss or damage arising from your failure to
comply with the items of this Section.
Chestnut Learning accounts may not be shared by more than one person unless express authorization is given by Chestnut Learning
Proprietary Rights and Trademarks
Chestnut Learning is a registered trademark of Chestnut Learning Limited.
You acknowledge and agree that all content, service, and materials available on Chestnut Learning website are protected by
copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws.
You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly
perform, publish, adapt, edit, or create derivative works from such materials or content, any portion of the Service,
use of the Service, or access to the Service.
If you believe in good faith that materials on the Services infringe your copyright, you can send us a notice
requesting that the material be removed or access to it blocked.
The notice must include the following information:
We suggest that you consult your legal advisor before filing a notice. Also, be aware that there can be penalties
for false claims.
Chestnut Learning also respects the trademark rights of others. Accounts with any other content that misleads others or
violates another’s trademark may be updated, suspended, disabled, or terminated by Chestnut Learning in its sole discretion. If
you are concerned that someone may be using your trademark in an infringing way on our Services, please email us at email@example.com, and we will review your complaint. If we deem
appropriate, we may remove the offending content, warn the individual who posted the content, and/or temporarily or
permanently suspend or disable the individual’s account.
Modifications to Service
Chestnut Learning reserves the right at any time and from time to time to modify or temporarily discontinue the Service
(or any part thereof) with or without notice. You agree that Chestnut Learning shall not be liable to you or to any third party
for any modification, suspension, or temporary discontinuance of the Service.
Termination of Service
You agree that Chestnut Learning may, under certain circumstances and without prior notice, immediately suspend,
terminate, and/or delete your account and access to the Service. Cause for such suspension, termination, and/or
incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by
you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part
thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement
by you in fraudulent or illegal activities.
Termination of your Chestnut Learning account may include (a) removal of access to all offerings within the Service, (b)
deletion of your password and all related information, files, and content associated with or inside your account (or
any part thereof), and (c) barring of further use of the Service. Further, you agree that all terminations for cause
shall be made in Chestnut Learning sole discretion and that Chestnut Learning shall not be liable to you or any third party for any
termination of your account, or access to the Service.
Warranties and Disclaimers
You expressly understand and agree that:
- Your use of the service is at your sole risk. The service is provided on an “as is” and “as
available” basis. Chestnut Learning expressly disclaims all warranties of any kind.
- Chestnut Learning makes no warranty that (i) the service will meet your requirements, (ii) the service will be
uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will
be accurate or reliable, (iv) the quality of any services, information, or other material purchased or obtained by you
through the service will meet your expectations, and (v) any errors in the software will be corrected.
- Any material downloaded or otherwise obtained through the use of the service is done at your own discretion and
risk and that you will be solely responsible for any damage to your computer system or loss of data that results from
the download of any such material.
- No advice or information, whether oral or written, obtained by you from Chestnut Learning or through or from the service
shall create any warranty not expressly stated in the T&C.
Limitation of Liability
You expressly understand and agree that Chestnut Learning shall not be liable for any direct, indirect, incidental,
special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill,
use, data or other intangible losses (even if Chestnut Learning has been advised of the possibility of such damages), resulting
from: (i) the use or the inability to use the service; (ii) the cost of procurement of any data, information or
services purchased or obtained, or messages received, or transactions entered into through or from the service; (iii)
unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on
the service; or (v) any other matter relating to the service.
We may modify T&C with any additional terms that apply to a Service to, for example, reflect changes to the law
or changes to our Services. You should check the terms regularly. We’ll post notice of modifications to these terms on
this page or by email, However, changes addressing new functions for a Service or changes made for legal reasons will
be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of
Policy before you use the Service.
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to
its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If
any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these
Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and
supersede and replace any prior agreements we might have between us regarding the Service.
The T&C constitute the entire agreement between you and Chestnut Learning and govern your use of the Service, superseding
any prior agreements between you and Chestnut Learning. You also may be subject to additional terms and conditions that may
apply when you use affiliate services, third-party content or third-party software. The failure of Chestnut Learning to
exercise or enforce any right or provision of the T&C shall not constitute a waiver of such right or provision.
If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving
up any rights that we may have (such as taking action in the future). If it turns out that a particular term is not
enforceable, this will not affect any other terms.
